1. Parties and acceptance of the Terms

This document governs the use of the ProcuChain GO platform (the "Platform"), a B2B software-as-a-service for supply-chain and procurement management, provided by Fabulosos SRL (the "Provider", "we"), with its office at Str. Valea Oltului, nr. 8, Bl. A6, Ap. 36, Sector 6, București, RO.

The contract is concluded between the Provider and the legal entity (or its authorized representative) that creates an organization account (the "Customer", "Tenant") — as a supplier, buyer, or both. By accepting these Terms, you confirm authority to bind the organization to this contract.

Creating an account and using the Platform constitutes full acceptance of these Terms, supplemented by the Privacy Policy.


2. Definitions

  • Platform — the ProcuChain GO web application at procuchain.com, with all associated modules, APIs and connectors.
  • Provider — Fabulosos SRL, provider of the Platform and Controller of account data.
  • Tenant / Customer — the organization that owns the account, isolated multi-tenant.
  • User — a person granted access by the Tenant, with a role (admin, operator, etc.).
  • Connector — integration with a third-party e-commerce platform (Shopify, WooCommerce, Salla, Zid, Noon, Amazon SP-API) through which the Tenant imports data.
  • Connector Data — data imported by the Tenant via Connectors (products, orders, stock, suppliers).
  • Account Data — User and Tenant data (identity, authentication, billing), for which the Provider is Controller.

3. Description of the Service

Depending on the Plan, the Platform offers: purchase-order management, supplier–buyer collaboration, integration with e-commerce platforms via Connectors, demand forecasting and analytics, workflow automation and reporting. The Platform is a B2B process-organization tool; commercial decisions belong to the Tenant.


4. Accounts, roles and responsibilities

The Tenant is responsible for: (a) granting and revoking User access, (b) configuring roles, (c) confidentiality of credentials and Connector API keys, (d) the lawfulness of data it imports and processes through the Platform. Any suspected unauthorized access must be reported to dpo@4pro.io.


5. Connectors and third-party integrations

By enabling a Connector, the Tenant authorizes the Platform to access and process Connector Data to provide the Service. The Tenant warrants it holds the rights and legal bases required for the import. The Provider is not liable for the availability, accuracy or changes of third-party platform APIs. The Tenant's relationship with each third-party platform is governed by that platform's terms.


6. Subscriptions, pricing and payment

The Platform is offered on Plans with specific limits (tenants, orders, connectors, data volume). Current prices are shown in the Platform or the contractual offer. Billing is monthly or annual; non-payment may lead, after a grace period, to suspension of access. Price changes are notified in advance and do not affect an already-paid period.


7. Protection of personal data

With respect to Account Data, Fabulosos SRL acts as Controller. Personal data that may be contained in Connector Data (e.g., contact details of the Tenant's customers) is processed to provide the Service; the Tenant is responsible for the legal basis of its original collection. Details (categories, purposes, sub-processors, retention, rights) are in the Privacy Policy.


8. Acceptable use

The Tenant and Users undertake not to: (a) use the Platform unlawfully or fraudulently; (b) import data without a legal basis; (c) share credentials or API keys; (d) use unauthorized scraping/bots; (e) compromise Platform security; (f) exceed the Plan's technical limits by abusive means.


9. Availability, maintenance and backup

The Provider makes reasonable efforts toward availability without guaranteeing uninterrupted operation. Maintenance windows may occur. The Provider performs periodic backups without guaranteeing full recovery in every scenario.


10. Intellectual property

The Platform, code, design, trademarks and the Provider's own content belong to Fabulosos SRL or its licensors. Tenant data remains the Tenant's. These Terms transfer no intellectual property rights in the Platform.


11. Limitation of liability

To the extent permitted by law, the Provider is not liable for indirect damages, loss of data, profit or opportunity, nor for commercial decisions made by the Tenant based on analytics/forecasts. Total liability is limited to amounts paid in the last 12 months for the subscription.

This limitation does not apply to and shall not cap: (a) liability for compensation owed under Article 82 of the GDPR for breaches of data-protection law; (b) liability for infringement of intellectual property rights; (c) liability for wilful misconduct or gross negligence; and (d) any other liability that cannot be limited or excluded under applicable mandatory law.


12. Suspension, termination and data fate

Either party may terminate the contract per the contractual offer. Upon termination, the Tenant may export data within a reasonable period, after which it is deleted or anonymized, except data retained by law (e.g., financial records).


13. Force majeure

The Provider is not liable for failure to perform caused by force majeure (disasters, network outages, acts of authorities, unavailability of infrastructure providers or third-party platforms).


14. Changes to the Terms

The Provider may amend these Terms, notifying material changes. Published versions are at legal.knowbest.ro/en/terms/procuchaingo2.


15. Governing law and jurisdiction

These Terms are governed by the laws applicable in RO. For users in the European Union, mandatory EU-law provisions also apply, including the GDPR and consumer-protection rules. Disputes are settled by the competent courts at the Provider's office, without prejudice to data subjects' mandatory rights to lodge a complaint with their supervisory authority or to seek the competent courts under EU law.
